EFFECTIVE: December 2, 2024<\/strong><\/p>\n\n\n\n This SAFe Enterprise Subscription Agreement (\u201cAgreement<\/strong>\u201d) sets forth the terms under which Scaled Agile, Inc. (\u201cSAI<\/strong>\u201d) makes available the Services listed below to the business entity you represent (\u201cCustomer<\/strong>\u201d). By accessing or otherwise using the Services, Customer accepts and agrees to be bound by the terms of this Agreement. If Customer does not agree to all the terms of this Agreement, it may not access or use the Services, in whole or in part.<\/p>\n\n\n\n 1. Definitions.<\/p>\n\n\n\n (a) \u201cAdministrator<\/strong>\u201d means a user who has authority to administer the Services but is not counted as a Named User.<\/p>\n\n\n\n (b) \u201cAffiliate<\/strong>\u201d means any entity which directly or indirectly controls, is controlled by, or is under common control with the subject entity. \u201cControl,\u201d for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.<\/p>\n\n\n\n (c) \u201cCertified SAFe\u00ae<\/sup> Practice Consultant<\/strong>\u201d (<\/strong>\u201cSPC<\/strong>\u201d) <\/strong>means an individual who has satisfied the SAI rules and requirements for SPC (or SPC Trainer) certification, is validated to teach SAFe courses, and whose certification remains active and in good standing.<\/p>\n\n\n\n (d) \u201cCourse<\/strong>\u201d means a SAFe training class.<\/p>\n\n\n\n (e) \u201cCourseware<\/strong>\u201d means all materials associated with the Course(s) purchased in the Ordering Form including slides, student workbooks, instructor materials, trainer guide, toolkits, usage guides, performance tools, and other material that SAI provides to Customer pursuant to this Agreement, including any updates thereto during the Term.<\/p>\n\n\n\n (f) \u201cCustomer Provided Data<\/strong>\u201d means electronic data or information provided by Customer to SAI for use in connection with the Services during the Term for processing.<\/p>\n\n\n\n (g) \u201cEffective Date<\/strong>\u201d means the Services term start date as indicated on the Order Form.<\/p>\n\n\n\n (h) \u201cNamed Users<\/strong>\u201d means individuals who have been identified as a user by Customer to access to the Services in accordance with this Agreement.<\/p>\n\n\n\n (i) \u201cOrder Form<\/strong>\u201d means the ordering documents for Customer\u2018s purchases from SAI that are executed by the parties from time to time. Order Forms shall be deemed incorporated herein.<\/p>\n\n\n\n (j) \u201cSAFe<\/strong>\u201d means the interactive knowledge base for implementing agile software development practices at enterprise scale developed and owned by SAI also known as the Scaled Agile Framework\u00ae<\/sup>. SAFe <\/em><\/i>and Scaled Agile Framework<\/i> are registered trademarks of SAI.<\/p>\n\n\n\n (k) \u201cSAFe Platform<\/strong>\u201d means SAI\u2019s web-based SAFe Enterprise platform and\/or other designated websites designed to achieve and sustain business agility.<\/p>\n\n\n\n (l) \u201cServices<\/strong>\u201d mean collectively the Courseware, the Courses, the SAFe Platform and any additional services provided to the Customer by SAI, including (a) SAI\u2019s guidance and communications to Named Users; and (b) the offering of services directly to Users, including events and webinars. For the avoidance of doubt, Services do not include any services provided by SAI directly to a User outside the scope of this Agreement.<\/p>\n\n\n\n (m) \u201cUser<\/strong>\u201d means collectively, the Named User, SPC and Administrator.<\/p>\n<\/div><\/div>\n\n\n\n 2. SAFe Platform.<\/strong><\/p>\n\n\n\n (a) Provision of SAFe Platform. <\/strong>Subject to Customer\u2019s compliance with the terms and conditions in this Agreement, SAI shall make the SAFe Platform available to Customer\u2019s Users for its internal business purposes on a non-exclusive, non-transferrable basis during the Term.<\/p>\n\n\n\n (b) Availability. <\/strong>SAI will use commercially reasonable efforts to make the SAFe Platform available, except for: (i) planned downtime (about which SAI shall use reasonable efforts to provide notice via the Services); or (ii) any unavailability caused by circumstances beyond SAI\u2019s reasonable control, including without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, epidemic, strikes or other labor problems (other than those involving SAI employees), computer, telecommunications, Internet service provider or hosting facility failures or delays involving hardware, software or power systems not within SAI\u2019s possession or reasonable control, and denial of service attacks.<\/p>\n<\/div><\/div>\n\n\n\n (a) License Grant. <\/strong>Subject to the terms of this Agreement, SAI grants Customer, during the Term, a limited, non-exclusive, non- transferable, non-assignable, revocable license to reproduce, perform, and display the Courseware solely for the purpose of providing the Courses to its Named Users via in-person or remote, instructor-led training performed by an SPC. Each Named User counts for one (1) license. Except as provided herein, Customer acknowledges and agrees that the SPC, or a designated Administrator on behalf of the SPC, is the only User authorized to access the Courseware. Notwithstanding the foregoing, Customer may reproduce a single copy of the Courseware student workbook(s) in digital or hardcopy form for each Named User who attends a Course. This Agreement provides Customer a limited right to sublicense to the SPC(s) delivering a Course (whether employee or contractor), provided that such individuals are bound by the same obligations contained herein.<\/p>\n\n\n\n (b) Restrictions. <\/strong>Customer shall ensure that the Courseware is used only in connection with delivering a Course(s) to Named Users. Any other use is strictly prohibited. In addition to the restrictions set forth herein, Customer shall not nor permit others (including Users) to: (i) make any representation, warranty, guarantee, indemnity, or other commitment, actually or apparently, on behalf of SAI regarding the Courseware or any SAI ideas, techniques, or methodologies; or (ii) engage in any disparaging, misleading, or deceptive practices regarding SAI, SAI trademarks, or the Courseware.<\/p>\n\n\n\n (c) Courses. <\/strong>Customer shall not nor permit others (including Users) to allow anyone except Named Users under this Agreement to attend a Course or access any Courseware. Customer shall provide Course rosters to SAI via electronic upload, in any event no later than ten (10) days after conclusion of any Course.<\/p>\n<\/div><\/div>\n\n\n\n (a) Services Access. <\/strong>Customer is responsible for all activities that occur in Users\u2019 accounts and for Users\u2019 compliance with this Agreement. Customer shall: (i) use commercially reasonable efforts to prevent unauthorized access to, or use of, the Services, and notify SAI promptly of any such unauthorized access or use; (ii) remove any Users no longer authorized to use the Services; and (iii) comply with all applicable local, state, federal and foreign laws in using the Services. Customer is liable for any User\u2019s breach of this Agreement.<\/p>\n\n\n\n (b) Customer Affiliates<\/strong>. Customer Affiliates may purchase access to the Services for their Users subject to the terms of this Agreement by executing Order Forms hereunder. Customer shall be jointly and severally liable for any duty or obligation incurred by any Customer Affiliate, pursuant to any Order Form related to the subject matter of this Agreement.<\/p>\n\n\n\n (c) Continuous Development<\/strong>. Customer acknowledges that SAI may continually develop, deliver and provide to Customer on-going innovation to the Services in the form of new features, functionality, and efficiencies. Accordingly, SAI reserves the right to modify the Services from time to time. Customer agrees that its purchase of Services is neither contingent upon the delivery of any future functionality or features nor dependent upon any oral or written public comments made by SAI with respect to future functionality or features.<\/p>\n\n\n\n (d) Feedback<\/strong>. SAI in its sole discretion may utilize all comments and suggestions, whether written or oral, furnished by Customer to SAI, including comments and suggestions of Users, in connection with its access to and use of the Services or otherwise relating to SAI\u2019s products and services (all comments and suggestions provided by Customer or its Users hereunder constitute, collectively, the \u201cFeedback<\/strong>\u201d). Customer hereby grants SAI, on behalf of itself and its Users, a worldwide, non-exclusive, irrevocable, perpetual, royalty-free right and license to incorporate the Feedback into SAI products and services. Feedback will not be considered Confidential Information of Customer or any Customer Affiliates.<\/p>\n\n\n\n (e) Restrictions. <\/strong>During the Term and thereafter, Customer shall not, and shall not permit any of its employees, contractors, or Users to, directly or indirectly: (i) act as a reseller or distributor of, or a service bureau for, the Services or otherwise use, exploit, make available or encumber any of the Services to or for the benefit of any third party; (ii) use or demonstrate the Services in any other way that is in competition with SAI; (iii) reverse engineer, disassemble or decompile the Services or attempt to derive the source code or underlying ideas or algorithms of any part of the Services (except to the limited extent applicable laws specifically prohibit such restriction); (iv) remove any notice of proprietary rights from the Services; (v) copy, modify, translate or otherwise create derivative works of any part of the Services; (vi) use the Services in a manner that interferes or attempt to interfere with the proper working of the Services or any activities conducted on the Services, including bypassing or attempting to bypass any privacy settings or measures used to prevent or restrict access to the Services; (vii) use manual or automated software, devices, robot, spider, or other processes to \u201ccrawl\u201d or \u201cspider\u201d or to retrieve, index, \u201cscrape\u201d, \u201cdata mine\u201d or in any way gather information, content or other materials from the Services in an unauthorized manner or reproduce or circumvent the navigational structure or presentation of the Services; (viii) use the Services in a manner which interferes with or disrupt its integrity or performance; (ix) use or allow the transmission, transfer, export, re-export or other transfer of any software, technology or information forming a part of the Services in violation of any export control or other laws and regulations of the United States or any other relevant jurisdiction; or (x) use the Services to share, store, access, and\/or distribute inappropriate materials, including (A) materials containing viruses or other harmful or malicious code; (B) unsolicited mail (spam); (C) copyrighted materials to which Customer does not have sufficient rights; (D) harassing, tortious, or defamatory materials; or (E) other materials prohibited by applicable international, federal, state, or local laws and regulations.<\/p>\n\n\n\n (f) Export Compliance. <\/strong>Customer agrees its use of the Services will comply with applicable export control and trade sanctions laws, rules and regulations, including without limitation the regulations promulgated by the U.S. Department of Commerce\u2019s Bureau of Industry and Security and the U.S. Department of the Treasury\u2019s Office of Foreign Assets Control (\u201cOFAC\u201d) (collectively, \u201cExport Laws\u201d). Customer represents and warrants that it is not (i) located, organized, or resident in a country or territory that is subject to a U.S. trade embargo; or (ii) identified on, or owned or controlled by any party identified on, any applicable sanctions or restricted party list, including the Specially Designated Nationals and Blocked Persons List, Foreign Sanctions Evaders List, and Sectoral Sanctions Identifications List, administered by OFAC. Customer agrees that it will not use the Services to disclose, transfer, download, export or re-export, directly or indirectly, any aspect of the Services or Customer Provided Data to any country, entity or other party which is ineligible to receive such items under the Export Laws. Customer acknowledges that the Services may not be available in all jurisdictions and that Customer is solely responsible for complying with the Export Laws. Customer acknowledges that SAI may cease to provide the Services if SAI determines that Customer has violated any of the representations in this section and Customer agrees to notify SAI immediately in writing if its status under any of these representations changes.<\/p>\n<\/div><\/div>\n\n\n\n Customer will be solely responsible for:<\/p>\n\n\n\n (a) Providing all necessary cooperation and information as may be reasonably required by SAI in order to provide the Services. In the event of any delays in Customer\u2019s provision of such assistance, SAI may adjust any agreed upon timetable or delivery schedule as reasonably necessary;<\/p>\n\n\n\n (b) Ensuring that each User create and maintain a secure and confidential password for their use of the Services, which will be changed upon regular intervals in accordance with industry standard and reasonable password security requirements;<\/p>\n\n\n\n (c) Procuring and maintaining its network connections and telecommunications links; and<\/p>\n\n\n\n (d) Moderating any content posted by Users, for which SAI will have no liability for whatsoever.<\/p>\n\n\n\n SAI has no obligations or responsibility for the above stated Customer responsibilities, including any issues caused by Customer\u2019s use of third-party hardware or software.<\/p>\n<\/div><\/div>\n\n\n\n3. Courseware.<\/h2>\n\n\n\n
